Terms of Service

These Terms of Service ("Terms") govern your use of the document drafting services provided by Clear Draft, a trading name of Tullany Holdings Limited (Company Registration No. 80034919002213) ("we", "our", "us"). By using our services, you agree to be bound by these Terms.

1. Nature of Services
1.1 What We Do
We provide professional document drafting services, including but not limited to:
- Witness statements
- Tribunal submissions and appeals
- Letters before action
- Subject access requests
- Formal complaints
- Court of Protection forms and supporting documents
1.2 What We Do Not Do
We do not:
- Provide legal advice or opinions on the merits of your case
- Represent you in court, tribunal, or any legal proceedings
- Guarantee any outcome in legal matters
- Act as your solicitor, barrister, or legal representative
- Hold ourselves out as qualified legal practitioners
1.3 Your Responsibility
You are responsible for:
- Reviewing all documents we prepare before submission
- Deciding whether and how to use the documents
- Seeking independent legal advice where appropriate
- Providing accurate and complete information for document preparation
- Meeting any deadlines set by courts, tribunals, or other bodies
2. Placing an Order
2.1 Enquiry and Quotation
Upon receiving your enquiry, we will confirm the scope of work, price, and estimated turnaround time. A contract is formed when you accept our quotation and make payment.
2.2 Information Required
You must provide all relevant facts, documents, and information necessary for us to prepare your documents. You warrant that all information provided is accurate and complete to the best of your knowledge.
2.3 Acceptance
We reserve the right to decline any instruction at our discretion, including where we believe the matter is beyond the scope of our services, involves illegal activity, or presents a conflict of interest.
3. Pricing and Payment
3.1 Fixed Fees
Our services are provided at fixed fees as quoted. The quoted price includes one round of reasonable amendments based on your feedback.
3.2 Additional Work
If the scope of work changes materially after you have placed your order, we will notify you and agree any additional fee before proceeding.
3.3 Payment Terms
Payment is required in full before work commences unless otherwise agreed in writing. We accept payment by bank transfer and other methods as communicated at the time of order.
3.4 Currency
Prices are displayed in British Pounds Sterling (GBP). Some payments may be charged in US Dollars (USD) depending on your location, with conversion at the prevailing exchange rate. Your bank or payment provider may apply their own exchange rate and fees for currency conversion.
4. Delivery
4.1 Turnaround Time
We will use reasonable endeavours to deliver documents within the agreed timeframe. Standard turnaround is 48 hours from receipt of all necessary information and payment. Expedited services may be available at additional cost.
4.2 Delivery Method
Documents are delivered electronically by email in editable format (Microsoft Word) and/or PDF as appropriate.
4.3 Amendments
You may request reasonable amendments to the draft document within seven (7) days of delivery. One round of amendments is included in the fixed fee. Additional amendment requests may incur further charges.
5. Intellectual Property
5.1 Ownership
Upon full payment, you own the final documents prepared specifically for you. We retain ownership of any templates, precedents, or standard clauses used in preparation.
5.2 Use of Documents
Documents are prepared for your personal use in the matter described. You may not resell, redistribute, or commercially exploit documents prepared for you.
6. Confidentiality
We treat all information you provide as confidential. We will not disclose your information to third parties except:
- With your consent
- Where required by law or court order
- To service providers assisting in delivery of our services, under confidentiality obligations

7. Limitation of Liability
7.1 No Guarantee of Outcome
We make no guarantee as to the success of any legal matter or the acceptance of documents by any court, tribunal, or other body. The outcome of legal proceedings depends on many factors beyond our control.
7.2 Limitation
To the maximum extent permitted by law, our total liability to you for any claim arising out of or in connection with our services shall not exceed the fee paid by you for the specific service giving rise to the claim.
7.3 Exclusions
We shall not be liable for:
- Any loss arising from your failure to provide accurate or complete information
- Any loss arising from your use or non-use of documents we prepare
- Any indirect, consequential, or special damages
- Loss of profit, business, or opportunity
- Any delay or failure caused by circumstances beyond our reasonable control
7.4 Nothing Excluded Improperly
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
8. Refunds and Cancellation
8.1 Before Work Commences
If you cancel your order before we have commenced work, we will refund your payment in full.
8.2 After Work Commences
If you cancel after work has commenced, we may retain a reasonable proportion of the fee to reflect work already completed.
8.3 Dissatisfaction
If you are dissatisfied with our service, please contact us. We will endeavour to resolve any concerns. Refunds for completed work are at our discretion and will be considered on a case-by-case basis.
9. Complaints
If you have a complaint about our services, please contact us at info@tullany.org. We will acknowledge your complaint within five (5) working days and aim to resolve it within twenty (20) working days.
10. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of Uganda. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Uganda.
Notwithstanding the above, we reserve the right to bring proceedings against you in the courts of your country of residence where necessary to enforce payment or protect our rights.
11. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
12. Entire Agreement
These Terms, together with our Privacy Policy and any specific quotation or engagement letter, constitute the entire agreement between you and us regarding the services provided.
13. Amendments to Terms
We may amend these Terms from time to time. The current version will always be available on our website. Continued use of our services after any amendment constitutes acceptance of the revised Terms.
